Vhet Terms of Use

Effective date: [DATE PUBLISHED]
Last updated: [DATE PUBLISHED]

These Terms of Use (the "Terms") are an agreement between you and Vhet LLC ("Vhet", "we", "us", "our"). They cover your use of the Vhet mobile app for iOS and Android and related services, including our website at https://vhet.app (together, the "App").

Please read them carefully. By creating an account or using the App, you agree to these Terms. If you don't agree, please don't use the App.

Where the App is available. The App is not currently offered in the European Union, the European Economic Area (including Norway, Iceland and Liechtenstein), the United Kingdom or Switzerland.

Your privacy. Our Privacy Policy (https://vhet.app/privacy) and our Consumer Health Data Privacy Policy (https://vhet.app/health-data) explain how we collect and use your information. They are separate documents, and agreeing to these Terms is not the same as giving consent to collect health data or to use AI features. We ask for those separately in the App.

Summary (the short version)

This summary is here to help. The full Terms below are what count.

1. Who we are and how to contact us

The App is provided by Vhet LLC, a limited liability company registered in the State of Washington, USA (UBI 606 303 446).

Please send any questions, complaints or claims about the App to us at these details.

2. Who can use Vhet

3. Your account

4. Health and fitness disclaimer (important)

4.1 Not medical advice. Vhet provides general fitness and nutrition information and tracking tools. It is not a medical device, and it does not provide medical advice, diagnosis or treatment. Nothing in the App replaces advice from a doctor, registered dietitian or other qualified health professional. Never ignore professional medical advice, or delay getting it, because of something in the App.

4.2 Talk to a doctor first. Check with a doctor before you start any exercise programme, workout plan or eating plan, or make a big change to your activity or diet. This is especially important if you:

4.3 Pregnancy. Don't follow workout plans, calorie targets or meal plans in the App while pregnant or breastfeeding unless your doctor or midwife has said they are suitable for you.

4.4 Eating disorders. The App includes calorie counting, food logging and weight goals. These features are not designed for, and may not be suitable for, people who have or are recovering from an eating disorder. If you are struggling with food, eating or body image, please talk to a health professional or a local eating-disorder support service.

4.5 Stop if something feels wrong. Stop exercising immediately and get medical help if you feel chest pain or pressure, faintness, dizziness, severe shortness of breath, an irregular heartbeat, or sharp or unusual pain. In an emergency, call your local emergency number. The App can't detect emergencies or call for help.

4.6 Exercise has risks. Physical exercise carries a risk of injury, and in rare cases serious illness or death. You choose which exercises you do, how hard you work, and whether a plan is right for you. Use proper form and suitable equipment, warm up, and stay within your limits. To the extent the law allows, you accept these risks, but this doesn't affect our responsibility for our own negligence or anything else the law says we can't exclude (see Sections 14 and 15).

4.7 Numbers are estimates. Calories burned, calorie and macro targets, rest times, overload suggestions and similar figures are estimates based on general formulas and on what you tell us. They can be wrong for you.

4.8 Health app data. If and when the App supports Apple Health or Android Health Connect and you connect it, the App shows data from those apps and devices as it receives it. We aren't responsible for the accuracy of data from third-party devices or apps.

5. AI-generated plans and adjustments

5.1 What they are. If you turn them on, the App can use artificial intelligence to create weekly fitness and meal plans and to suggest weekly adjustments to them, and to power other AI features we may offer. These features use OpenAI as our AI provider. We ask for your separate permission in the App before any of your personal data is sent to OpenAI, and you can turn this off at any time in Settings > Privacy > AI Features. See Section 4A of our Privacy Policy for what is sent and how it is handled.

5.2 AI can be wrong. AI-generated content is produced automatically and may be inaccurate, incomplete, unsuitable for you, or simply wrong, even when it sounds confident. For example, a plan might include an exercise that isn't safe for your injury, or a meal that contains something you are allergic to or can't eat. In particular:

5.3 Your responsibility. You decide whether to follow any plan or suggestion. Use your own judgement and, where it matters to your health, get professional advice first.

5.4 Using AI features properly. Don't use AI features to create content that is illegal, harmful or abusive, or to try to make them produce dangerous advice (for example, extreme calorie restriction). Don't try to get around the safety limits we or OpenAI build in.

6. Food and nutrition data

6.1 Where it comes from. Food and nutrition information in the App comes from several sources:

6.2 Accuracy. Nutrition data, including calories, protein, carbs, fat, serving sizes and ingredients, may be inaccurate, out of date or missing, and recipes and products change. Always check the product label, especially for allergens. Don't rely on the App's nutrition data for medical purposes, such as managing diabetes, kidney disease, food allergies or other conditions that need precise intake.

6.3 My foods. Foods you save or correct in My foods are private to your account. They are not shared with other users or sent back to Open Food Facts or any other public database.

7. Subscriptions, free trials and payments

7.1 Free and paid versions. You can use some features of the App for free. The free version doesn't show ads today, but it may include ads in future. Other features require a paid subscription. The features included in each option, and the price, are shown in the App before you subscribe. If we add ads to the free version, paying subscribers won't see them.

7.2 Billing through Apple or Google. Subscriptions are sold as in-app purchases through the Apple App Store or Google Play. Apple or Google (not Vhet) processes your payment, under their own terms. We never see your full card details. The price, the billing period, the length of any free trial, and any taxes are shown on the store's purchase screen before you confirm.

7.3 Automatic renewal. We offer monthly and yearly subscriptions. Your subscription renews automatically at the end of each billing period, at the then-current price, and your Apple or Google account is charged, unless you cancel before the renewal. Apple says you should cancel at least 24 hours before the end of the current period. Google may use a different deadline. The store tells you the exact date. We will tell you in advance about any price increase, and where the store or the law requires it, you'll need to agree before the higher price applies.

7.4 Free trials. A subscription may start with a free trial. When the trial ends, it automatically becomes a paid subscription and you are charged, unless you cancel before the trial ends. The trial length and the date you'll first be charged are shown before you start the trial. Free trials are generally limited to one per person, as set by Apple or Google.

7.5 How to cancel. You can cancel at any time, online, in a few taps:

When you cancel, you keep access to paid features until the end of the period you have already paid for, and then your account switches to the free version. Deleting the App, or deleting your Vhet account, does not cancel your subscription. Please cancel with Apple or Google too.

7.6 Refunds. Because Apple and Google handle payments, refund requests go to them under their refund policies:

We can't issue refunds for store purchases ourselves, but we're happy to help you contact the store. This doesn't limit any right to a refund that you have under the law where you live (see Section 7.7).

7.7 Cooling-off and other legal rights. If the law where you live gives you a right to cancel a purchase within a set period after you buy it ("cooling-off period"), you can use it through Apple or Google, which handle the purchase, or by contacting us. Your legal rights if the App is faulty or not as described always apply.

7.8 Changes to subscription features. We keep improving the App and may change the features included in a subscription. If we make a change that is materially worse for you during a period you've paid for, we will tell you in advance, and you can cancel. Where the law gives you a right to a refund or price reduction in that case, you keep it.

8. Ads in the free version

The App doesn't show ads today, but the free version may include ads from third-party advertising partners in future. Before we add any, we'll update our Privacy Policy (Section 5), name the ad provider, and ask for any consent the law requires. Ads will never be targeted using your health or fitness data. We're not responsible for the content of third-party ads, or for anything you buy from an advertiser. If we add ads, we'll give you a way to report an inappropriate ad in the App, and we'll review every report.

9. Your content

9.1 What "your content" means. "Your content" is anything you put into the App: your profile and body details, workouts and logs, food logs, foods saved to My foods, photos, notes, and prompts you send to AI features.

9.2 You own it. You keep all your rights in your content.

9.3 The permission you give us. You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, adapt (for example, reformatting it or calculating totals) and display your content, only as needed to provide, secure and support the App for you, and as described in our Privacy Policy. This includes letting our service providers (such as our hosting provider and, if you turn AI features on, OpenAI) do these things for us. We don't use your content for advertising, we don't sell it, we don't make it public, and we don't use it to market the App. This licence ends when you delete the content or your account, except for copies we must keep for a limited time under our Privacy Policy (for example, in backups until they are overwritten, or where the law requires).

9.4 Your promises about your content. You confirm that you have the right to put your content in the App, and that it doesn't break the law or anyone else's rights.

9.5 Feedback. If you send us ideas or suggestions for improving the App, we may use them without owing you anything. This doesn't give us any rights to your other content.

10. Acceptable use

When using the App, you agree not to:

If you break these rules, we may remove the content concerned and take the steps in Section 13.

11. Our app, our brand, and other people's data

11.1 Our rights. The App, including its software, design, text, exercise library, workout programmes, graphics, and the look and feel, belongs to Vhet LLC or our licensors and is protected by intellectual property laws. Vhet™ and the Vhet logo are trademarks of Vhet LLC. You may not use them without our written permission.

11.2 Your licence to use the App. As long as you follow these Terms, we give you a personal, limited, non-exclusive, non-transferable, revocable licence to download and use the App on devices you own or control, for your own personal, non-commercial use. On Apple devices, this licence is limited to Apple-branded products that you own or control, and to use permitted by the Usage Rules in the Apple Media Services Terms and Conditions (including Family Sharing, where we have turned it on). We keep all rights not expressly given to you.

11.3 Third-party data and credits.

11.4 Third-party services and links. The App works with services run by others, such as Apple, Google, Apple Health, Health Connect, OpenAI, Open Food Facts and USDA FoodData Central. Their own terms and privacy policies apply to your use of their services. We don't control them and aren't responsible for their content, accuracy or availability, except where the law makes us responsible.

11.5 Copyright complaints. If you believe something in the App infringes your copyright, email support@vhet.app with: the work you say is infringed; where it appears in the App; your contact details; a statement that you believe in good faith the use isn't authorised; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorised to act for the owner; and your physical or electronic signature.

12. Changes to the App

We keep working on the App. We may add, change or remove features, or stop offering the App in some countries, for example to improve it, fix problems, for security, or to comply with the law. If a change removes or significantly reduces a paid feature you are using, we'll give you reasonable notice where we can, and you can cancel your subscription. Where the law gives you a right to a refund, a price reduction or to end the contract in that case, you keep it. Some features need an up-to-date version of the App or your device's operating system.

13. Suspension, termination and deleting your account

13.1 You can leave at any time. You can stop using the App and delete your account at any time:

What we delete, and what we keep and why, is explained in Section 13 of our Privacy Policy (https://vhet.app/privacy#delete-account). Deleting your account is permanent, and your logs and plans can't be recovered afterwards. If you want a copy of your data first, download it in the App under Settings > Privacy > Download my data, or email support@vhet.app with the subject "Vhet data copy request" (see Section 12 of our Privacy Policy). Remember: deleting your account doesn't cancel your subscription. Cancel with Apple or Google.

13.2 When we can suspend or close your account. We may suspend or close your account, or limit your access to some features, if:

We will act proportionately. Where reasonable, and where the law allows, we'll tell you why and give you a chance to fix the problem or explain first. If you think we made a mistake, email support@vhet.app with "Account review" in the subject line and we'll review our decision. If we close your account without good reason, or because we stop offering the App, and you have paid for a period you can no longer use, we will help you get a refund for the unused period from Apple or Google, or, where the law requires us to and they can't, refund it ourselves.

13.3 What survives. If these Terms end, the sections that by their nature should continue will keep applying, including Sections 4, 5.2, 6.2, 9.5, 11, 14, 15, 16, 17 and 19.

14. Disclaimers

14.1 Your legal rights come first. Nothing in these Terms limits any rights you have as a consumer that the law says can't be limited or excluded. If the law where you live gives you legal rights when the App or digital content is faulty or not as described, this Section 14 doesn't affect them.

14.2 Otherwise, the App is provided "as is". To the maximum extent the law allows, and apart from what these Terms expressly say, the App and everything in it (including AI-generated content, nutrition data and exercise information) are provided "as is" and "as available", without warranties of any kind. We don't promise that the App will always be available, uninterrupted, secure or error-free, that any information in it is accurate or complete, or that using it will help you reach any fitness, weight or health goal. Where the law allows, we exclude implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy and non-infringement.

14.3 Results vary. Fitness and nutrition results depend on many things outside our control, including your health, genetics, effort and consistency. We can't guarantee any particular result.

14.4 Some places don't allow these exclusions. Some states and countries don't allow some of the exclusions above, so they may not apply to you.

15. Our liability to you

15.1 What we never limit. Nothing in these Terms excludes or limits our liability for:

15.2 Types of loss. To the maximum extent the law allows, Vhet LLC and its members, employees and agents won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or business interruption, arising out of or related to the App or these Terms, however caused, even if we were told they were possible.

15.3 Total amount. To the maximum extent the law allows, our total liability to you for all claims arising out of or related to the App or these Terms is limited to the greater of: (a) the amount you paid for Vhet subscriptions in the 12 months before the event giving rise to the claim; or (b) US$100.

15.4 Sections 15.2 and 15.3 do not limit anything listed in Section 15.1.

16. If someone makes a claim because of your misuse

If you are using the App for business purposes, or to the extent the law allows otherwise, you agree to compensate us for reasonable losses and costs (including reasonable legal fees) that result from a claim by someone else caused by your breaking these Terms or the law, or by content you put in the App. This doesn't apply to the extent the claim was caused by our fault.

17. Governing law and disputes

17.1 Talk to us first. Most problems can be fixed quickly. Before bringing a legal claim, please email support@vhet.app with "Dispute" in the subject line, describe the problem and what you'd like us to do, and give us 30 days to try to resolve it. This doesn't stop you from going to a small claims court, contacting your local consumer authority, or taking urgent legal action to protect your rights.

17.2 Governing law. These Terms are governed by the laws of the State of Washington, USA, and applicable US federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods doesn't apply.

17.3 Where disputes are heard. Unless Section 17.4 applies, any dispute will be decided by the state or federal courts located in King County, Washington, and you and we agree to their jurisdiction. Either of us can bring an individual claim in a small claims court that has jurisdiction instead.

17.4 Consumers living outside the US, and consumer protection laws. If you are a consumer and the law where you live gives you protections that can't be overridden by choosing another country's or state's law, those protections still apply to you. If you are a consumer and the law where you live gives you the right to bring proceedings in your local courts, or says we can only bring proceedings against you there, that right still applies.

17.5 No forced arbitration. These Terms don't require arbitration and don't stop you from joining a class or group action where the law allows it.

18. Changes to these Terms

We may update these Terms from time to time, for example to reflect changes to the App, the law or store rules. We'll post the new version at https://vhet.app/terms with a new "Last updated" date.

If a change is material, we'll tell you in the App or by email at least 30 days before it takes effect, unless the change is needed sooner for legal or security reasons. If you don't agree with a change, you can stop using the App, cancel your subscription and delete your account before it takes effect. If you keep using the App after the change takes effect, the new Terms apply. Changes won't apply retroactively, and we won't change the price of a subscription period you've already paid for. Previous versions are available on request.

19. Apple App Store: additional terms

If you downloaded the App from the Apple App Store, these extra terms apply, and they take priority over anything else in these Terms if there's a conflict:

  1. Agreement with Vhet, not Apple. These Terms are between you and Vhet LLC only, not Apple. Vhet, not Apple, is solely responsible for the App and its content. These Terms don't provide usage rules that conflict with the Apple Media Services Terms and Conditions.
  2. Scope of licence. Your licence to use the App is limited to a non-transferable licence to use it on Apple-branded products that you own or control, and as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may be accessed and used by other accounts associated with the purchaser through Family Sharing, volume purchasing or Legacy Contacts, where available.
  3. Maintenance and support. Vhet is solely responsible for any maintenance and support for the App, as set out in these Terms or as the law requires. Apple has no obligation at all to provide maintenance or support for the App.
  4. Warranty. Vhet is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you can notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent the law allows, Apple has no other warranty obligation of any kind with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses caused by any failure to conform to a warranty are Vhet's sole responsibility.
  5. Product claims. Vhet, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession or use of it, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy or similar laws, including in connection with the App's use of Apple's HealthKit framework.
  6. Intellectual property claims. If a third party claims that the App, or your possession or use of it, infringes their intellectual property rights, Vhet, not Apple, will be solely responsible for investigating, defending, settling and discharging that claim.
  7. Legal compliance. You confirm that (a) you are not located in a country or region that is subject to a US Government embargo, or that has been designated by the US Government as a "terrorist supporting" region; and (b) you are not listed on any US Government list of prohibited or restricted parties.
  8. Developer name and contact details. Questions, complaints or claims about the App should be sent to: Vhet LLC, 409 23rd Ave S, Seattle, WA 98144, USA; email support@vhet.app.
  9. Third-party terms. You must comply with any applicable third-party terms when using the App (for example, your mobile network's terms for data use).
  10. Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. Once you accept these Terms, Apple will have the right (and will be treated as having accepted the right) to enforce these Terms against you as a third-party beneficiary.

20. Google Play

If you downloaded the App from Google Play, your purchase and use of Google Play are also governed by Google's own terms. Google isn't responsible for the App. Section 7 explains how billing, cancellation and refunds work for subscriptions bought through Google Play.
